We will always do our best to fulfill your needs and meet your goals, but sometimes it is best to have a few simple things written down so that we both know what is what, who should do what and what happens if things go wrong. In this contract/Agreement you won’t find complicated legal terms or large passages of unreadable text. We have no desire to trick you into signing something that you might later regret. We do want what’s best for the safety of both parties, now and in the future.

In short

This Agreement (“Agreement”) is made and entered into as of [21 December 2023] by and between [WEB STYLE WORLD] (“Web Designer”) and the party or parties using the Web Designer’s website design services [AEROTECH ENGINEERING] (“Client”).

You,  are hiring WEB STYLE WORLD to design and develop a web site for the estimated Total price of Rs. 35,000/-.

Scope of Work

The Web Designer agrees to create a custom website for the Client, which will include a catalog and a payment method. The website will be designed in accordance with the Client’s specifications, and the Web Designer will use their best efforts to create a website that meets the Client’s requirements.

What do both parties agree to do?

As a partner, you have the power and ability to enter into this contract/Agreement on behalf of your company or organization. You agree to provide us with everything that we need to complete the project including text, images and other information as and when we need it, and in the format that we ask for. You agree to review our work, provide feedback and sign-off approval in a timely manner too. Deadlines work two ways and you will also be bound by any dates that we set together. You also agree to stick to the payment schedule set out at the end of this contract/Agreement.

We have the experience and ability to perform the services you need from us and we will carry them out in a professional and timely manner. Along the way we will endeavor to meet all the deadlines set but we can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed off our work on-time at any stage. On top of this we will also maintain the confidentiality of any information that you give us.

Details of the works

We will create designs for the look-and-feel, layout and functionality of your web site. This contract/Agreement includes one main design plus any changes to the site during a review period. This review period lasts a total of 5 working days, and will begin when we declare the site ready for review. If you’re not happy with the whole website at this stage, you will pay me in full for all of the work that I have produced until that point and you may either cancel this contract or continue to commission me to make further design revisions.  During the creation of your website, you will have the option to either, have a “Coming Soon” page in place. Your website will not be made live and accessible by the public until the final payment is made.

Text content

We are not responsible for writing or inputting any text copy unless we specified it in the original estimate. 

Photographs

If needed, you will supply us photographs either in digital or printed format. If you choose to buy stock photographs we can suggest a website of stock photography. 

Changes and revisions

We know from plenty of experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your first idea about how something should look, or how it might work. We don’t want to limit either your options or your opportunities to change your mind.

Timelines and Milestones:

The Web Designer will provide the Client with an estimated timeline for the completion of the project, which will be subject to change based on various factors, including the timely provision of content and feedback by the Client.

The estimate/quotation prices at the beginning of this document are based on the number of days that we estimate we’ll need to accomplish everything that you have told us you want to achieve. If you do want to change your mind, add extra pages or templates or even add new functionality, that won’t be a problem. After receipt of full payment towards website design, you will be charged at our standard rate of Rs.500/- per change. Along the way we might ask you to put requests in writing so we can keep track of changes.

Payment Terms

The total cost of the project is Rs. 35,000/- with GST extra if applicable at the time of order finalisation, which will be payable in instalments as per following schedule: –

Rs. 10,000/- Non-refundable advance at the time of entering into this agreement.

Rs. 15,000/- payable immediately upon execution of this Agreement, after domain name is purchased and home page design is discussed and completed.

Rs. 10,000/ – as full and  final instalment is payable upon inspection and before delivery of the website to the Client.

Legal stuff

We can’t guarantee that the functions contained in any web page templates or in a completed web site will always be error-free and so we can’t be liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this web site and any other web pages, even if you have advised us of the possibilities of such damages.

If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Ownership of Intellectual Property

Upon receipt of full payment, the Client shall own all intellectual property rights in the website created by the Web Designer, including but not limited to any source code, design elements, and other materials used in the development of the site.

Copyrights

You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us for inclusion in the web site are either owned by yourself, or that you have permission to use them.

When we receive your final payment, copyright is automatically assigned as follows:

• You own the graphics and other visual elements that we create for you for this project. 
• You also own text content, photographs and other data you provided, unless someone else owns them.
• We love to display our work and share what we have learnt with other people, so we also reserve the right to display and link to your completed project as part of my portfolio and to write about the project on web sites, in magazine articles and in books about web design.

Dispute Resolution

Any disputes arising out of or relating to this Agreement shall be resolved exclusively through the courts located in Pune, India.

The Website

Any problems or issues on the site caused by you or any member of your business will be fixed but will be charged at the rate of Rs.500/-. Any problems or issues caused by external entities, for example hacking or users to the site will be fixed at reasonable charges. However if external entities gained access to your website through external hosting or were allowed access by yourself or on your behalf then you will also be charged at our  rate of Rs.500/-.

If in the future you desire changes to be made to your website we will be happy to make them, any changes will be charged at our rate of Rs.500/- per change. 

All estimated days outlined in the Proposal are approximate. We cannot be held accountable to these approximations if you do not provide any necessary files promptly or due to any unseen circumstances or public holidays.

Additional Terms

a. The Web Designer shall provide the Client with regular progress updates throughout the project, and the Client shall provide the Web Designer with any necessary feedback in a timely manner.

b. The Web Designer shall use commercially reasonable efforts to ensure that the website is free from defects and errors, but the Web Designer shall not be liable for any damages or losses incurred by the Client as a result of any defects or errors in the website.

c. The Web Designer shall maintain the confidentiality of any confidential information provided by the Client in connection with the project.

d. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

e. This Agreement may not be modified or amended except in writing signed by both parties.

Full ownership and access to the website with the ability to make any edits/upgrades/changes/etc., if required can be provided at extra cost as applicable.

Just like a parking ticket, you cannot transfer this contract/Agreement to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.

Although the language is simple, the intentions are serious and this contract/Agreement is a legal document under exclusive jurisdiction of Indian courts.

This contract is subject to change. WEB STYLE WORLD reserves the rights to change this contract once the outlined project is complete. A new contract will be formed and will require signatures from all parties included on this contract.
